45. जो प्रतिफल धन के रूप में नहीं है, उसका भागतः निष्फल होना -- ज, कि उस प्रतिफल का, जिसके लिए, किसी व्यक्ति ने वचन-पत्र, विनिमय-पत्र या चैक हस्ताक्षरित किया था, कोई भारी यद्यपि धन के रूप में नहीं है, तथापि सम्पार्शिवक, जांच के बिना धन के रूप में अभिनश्चित किया जा सकता है और उस भाग की निष्फलता हुई है वहाँ वह राशि, जो उस हस्ताक्षरकर्ता से अव्यवहित सम्बन्ध में स्थित धारक उससे वसूल करने का हकदार है, अनुपाततः कम हो जाती है ।

45. Partial failure of consideration not consisting of money — Where a part of the consideration for which a person signed a promissory note, bill of exchange or cheque, though not consisting of money, is ascertainable in money without collateral enquiry, and there has been a failure of that party, the sum which a holder standing in immediate relation with such signer is entitled to receive from him is proportionally reduced.
