197. अनुसमर्थन अभिव्यक्त या विवक्षित हो सकेगा -- अनुसमर्थन अभिव्यक्त या उस व्यक्ति के आचरण से, जिसकी ओर से वे कार्य किए जाते हैं, विवक्षित हो सकेगा।
दृष्टान्त
(क) 'क' प्राधिकार के बिना 'ख' के लिए माल खरीदता है। तत्पश्चात् ‘ख’ उन्हें 'ग' को अपने लेखे बेच देता है। ‘ख के आचरण से विवक्षित है कि उसने 'क' द्वारा उसके लिए किए गए क्रय का अनुसमर्थन किया है।
(ख) 'ख' के प्राधिकार के बिना 'क', 'ख' का धन ‘ग' को उधार देता है। तत्पश्चात् ‘ख’ उस धन पर से ब्याज प्रतिग्रहीत करता है। 'ख' के आचरण से विवक्षित है कि उसने उस उधार का अनुसमर्थन किया है।
197. Ratification may be expressed or implied - Ratification may be expressed or may be implied in the conduct of the person on whose behalf the acts are done.
Illustrations
(a) A, without authority, buys goods for B. Afterwards B sells them to C on his own account; B's conduct implies a ratification of the purchase made for him by A.
(b) A, without B's authority, lends B's money to C. Afterwards B accepts interest on the money from C. B's conduct implies a ratification of the loan
